Professional License Schedule

Effective Date: April 29, 2026

This Professional License Schedule ("Professional License") supplements and is incorporated into the Terms. The Professional License governs your use of the Service if your Service Order identifies your license category as "Professional" or you do not meet the eligibility requirements for a Personal License. As used in this Schedule, "you" and "your" refer to the individual or entity executing the applicable Service Order or otherwise accessing the Service under a Professional License, including any corporation, partnership, limited liability company, or other legal entity. Capitalized terms not defined here have the meanings given in the Terms.

1. Eligibility

1.1.Subject to the eligibility requirements in the Terms, a Professional License is available to entities and to any individual who qualifies as a Securities Professional.
1.2.A "Securities Professional" is any individual who:
  • is registered or qualified with any securities, commodities, or derivatives regulatory authority or self-regulatory organization (including, without limitation, the SEC, FINRA, CFTC, NFA, or any foreign equivalent);
  • is employed by or associated with a broker-dealer, investment adviser, bank, insurance company, hedge fund, proprietary trading firm, or other financial institution, in a capacity that involves securities, commodities, or derivatives trading, analysis, research, or advisory services;
  • uses the Service, or Content in connection with any business, commercial, or professional activity, including for the benefit of an employer, client, or other third party;
  • uses the Service to develop, support, or operate any product, service, or system that involves the trading, analysis, or distribution of financial instruments or market data; or
  • uses Content in connection with any business or commercial activity.

2. Scope of License

2.1.The Professional License grants you a non-exclusive, non-transferable, revocable right to access and use the Service and Content in accordance with the Agreement. The number of permitted concurrent sessions and authorized devices is as set forth in your Service Order.
2.2.A Professional License is issued to a single named user and may not be shared with or transferred to any other individual or entity, except to the extent additional Seats are included in your Subscription. Firm or enterprise licenses permitting access for multiple named users require a separate Service Order and are subject to additional terms agreed upon at the time of execution.

3. Restrictions

3.1."Seats" means the individual employees, contractors, or agents of your organization who you designate to access and use the Service under your Professional License, up to the maximum number set forth in your Service Order. Each Seat must be individually identified and may not share credentials or access with any other person.
3.2.All rights granted to you under these Professional License Terms, and all obligations and restrictions imposed on you — including without limitation those relating to scope of use, restrictions, permitted purposes, and confidentiality — apply equally to each of your Seats. You shall ensure that each Seat is made aware of and complies with all applicable terms of the Agreement prior to being granted access to the Service.
3.3.You are fully responsible for all acts and omissions of your Seats in connection with their access to or use of the Service, as if such acts or omissions were your own. Any breach of the Agreement by a Seat shall be deemed a breach by you, and we may exercise any remedies available to us under the Agreement or Applicable Law accordingly.
3.4.You shall promptly revoke a Seat's access to the Service if that individual ceases to be employed by or affiliated with your organization, or if you have reason to believe the Seat has violated or is likely to violate any provision of the Agreement. You shall notify us of any known or suspected unauthorized access or misuse of your account as soon as reasonably practicable.

4. Pricing

4.1.Professional License pricing reflects the permitted use for commercial and professional activities. Current pricing is as displayed at the time of purchase and confirmed in your Service Order.

5. Representations and Warranties

5.1.In addition to the representations and warranties listed in the Terms, you represent and warrant that you are not, and will not become, principally engaged in the business of distributing full-text press releases or news releases to news media outlets, internet sites, financial platforms, or private audiences (a "Press Release Distributor").
5.2.If your business activities change such that you become a Press Release Distributor, you must notify us immediately and we reserve the right to terminate your access to the Service or any affected Content upon written notice.
5.3.For the avoidance of doubt, this representation applies to your organization as a whole and not merely to the individual accessing the Service.
